Family foundations in the KRS – the ministry’s plan

Author: PLA.partners Law Firm

The Ministry of Justice is working on moving family foundations to the National Court Register (KRS). For the founder and the founder’s family, this change signals not only faster registration, but also an entirely new model of access to data about the family wealth. Experts at PLA.partners draw attention to both sides of the reform.

What exactly the Ministry of Justice plans

The ministry is working on moving family foundations from the current register, kept solely by the Regional Court in Piotrkow Trybunalski, to the so-called second KRS register, where ordinary foundations and associations are currently entered. Registration cases would be distributed across nearly thirty commercial divisions throughout the country, and the procedure would become fully electronic. Independently of this reform, on 29 July 2026 an amendment introducing partial digitalisation of the current register will enter into force as a transitional solution.

What the planned change means for the founder and the founder’s family

The benefit is obvious: shorter registration time and continuous, electronic access to files and extracts. The risk is less visible but real. The KRS is a publicly accessible register. Within its structure, the family foundation’s seat address, the data of its bodies, and information about beneficiaries (including minors) all enter open circulation. Maciej Pilarek, advocate and partner at PLA.partners, indicates that for a founder who has registered the family foundation at the founder’s home address, the planned reform means the need for an earlier review of the discretion model around the family wealth.

What to consider already today

Many design decisions concerning a family foundation can be made in advance, before the final wording of the regulations becomes known. This applies in particular to the seat address of the foundation, the structure of its bodies, the model of designating beneficiaries, and the information flow policy. In the practice of the PLA.partners team, an audit of a family foundation in view of the future KRS transparency is today a recommended step for most active foundations.
